What is the Washington LLC Annual Report?
Every Washington LLC is required to file an annual report with the Secretary of State. The report confirms your registered agent, principal office address, and the names of your governors or members. It is not a financial report.
When is it due?
Annual reports are due by the last day of your LLC's anniversary month. If your LLC was formed in March, your annual report is due by March 31 each year.
What happens if you miss it?
A $25 late fee applies if you file within 60 days of the deadline. If you miss the 60-day window, the state begins administrative dissolution proceedings. Once dissolved, you must reinstate — which costs more and can create gaps in your liability protection.
How to file
You can file online through the Secretary of State's Corporations and Charities Filing System. The filing fee is $60 for most LLCs. You will need your UBI number and your registered agent information current.
